Rotary Ad Hoc By-Laws Committee Report

June 3, 2008

Submitted to the Board for action at the June 9, 2008 meeting 

Members: Gerald Liedl, Don Huber, and Fred Brooking

Charge: To review the 2007 RI Council on Legislation report and update all the Club's constitutional documents.
Documents reviewed were:

• 2007 RI Council on Legislation
• Club's Constitution - NEW CONSTITUTION
• Club's By-Laws - NEW BY-LAWS
• Club's Standing Rules
• Club's Procedure Manual - reference in By-Laws but not in existence ----------NEW MANUAL

Committee's Actions:

• RI stipulates the Club's Constitution so the Committee incorporated the Club's name and a date on the mandated Constitution.
• Reviewed the By-Laws with reference to the Constitution and the Council on Legislation document. Decided to recommend changes that would eliminate repetition of items in the Constitution, eliminate gender specific notation, and generate the referenced Procedure Manual (eliminate items in By-Laws that would fit more into the Procedures Manual; e.g. committees).
• Reviewed all Standing Rules and discarded those no longer applicable or that are covered in the By-Laws or Procedures Manual.
• Generated a Procedures Manual that would have major sections on
  • General Provisions - relationship to other documents and update process
  • Calendar of Major Events - a reminder of specific Board actions
  • Club Organization - list of committees and their activities
  • Projects
    • Support goals - philosophy of projects
    • Funding - funding through Charitable description
    • Board Approved Projects for Annual Funding - items from Standing Rules and Board actions over past decade

Motion: Move the Board adopt the RI 2007 Constitution, recommend approval of the submitted By-Law changes to the Club for their approval, and adopt the Manual of Procedures concept with submitted document as the initial Manual.
